Corporate lawyers, business representatives, external councils, attorneys, academics, teachers and students, and other users from any country in the world.
Any User who has sent an Author profile to the Administrator and received the Administrator's confirmation can post free Digital Goods.
To post paid Digital Goods:
a)
individuals need to link a card or YooMoney wallet to receive payments;
b)
Self-Employed, Sole Proprietors and legal entities need to connect YooKassa (from 1 day) and send to the administrator Author's ShopId from YooKassa for confirmation.
Digital Goods may be posted by both Russian and foreign persons.
The Federal Tax Service of the Russian Federation provides Russian and foreign citizens with the opportunity to:
a)
register as self-employed in a few minutes and take advantage of the special tax regime "Professional Income Tax". A self-employed person does not need to file reports, pay insurance premiums, or have a cash register; or
b)
register as a sole proprietor in three working days: or
c)
register an LLC in three working days.
The largest banks that have established information interaction with the Federal Tax Service also provide package services for the registration of the self-employed, sole proprietors and LLCs with account opening.
Authors – individuals accept payments to a bank card or YooMoney wallet under the "Safe Deal" model, where the User's payment is frozen until the Digital Goods are delivered (downloaded by the User). In most cases, the download takes place on the day of payment.
Authors – legal entities, sole proprietors or self-employed individuals accept payments through split payments. With split payments, one payment for one or more Digital Goods is sent to one or more recipients at once. To enable split payments, click on the link and follow the instructions.
In both cases, funds from Users do not go through Legal Wording's settlement account, but go directly to the authors, less YooKassa's and Legal Wording's commissions.
If Users do not find the content they need, they can send a request to the Authors via a special form on the index page, search page, or on footer.
Authors may post content requested by Users. For each such posting, the respective User will be notified that their request has been processed.
Authors also have access to anonymized information about Users' search queries made on the Platform.
The Author's rating is made up of the aggregate ratings of his Digital Goods made by Users. Users can rate only those documents they have downloaded and only once.
The following files are available for download on the Platform: editable formats (Doc, Docx, Rtf, Xls, Xlsx, Txt, Ppt, Pptx) and non-editable formats (Pdf, Jpeg, Png).
The Platform functionality allows to automatically generate preview images from the uploaded Digital Goods with Legal Wording watermarking, as well as applying a protective filter "Cloudy Glass" covering part of the Digital Goods at the discretion of the Author, which allows to visually demonstrate the preview of the Digital Goods to the User and partially hide their content. The Author may upload any other image for previewing his or her Digital Goods.
When downloading the Digital Goods, the User receives them without watermarks and protective filters.
The Platform tools provide indexing of the name and description of the Digital Goods in search engines such as Google, Yandex, Rambler, Mail.ru and other systems, which promotes organic promotion of the Digital Goods card on the Internet.

The functionality of the Platform allows for automatic translation of the name and description of the Digital Goods from English into Russian and vice versa. The translation is performed using specialized neural networks.
Thus, the description and name of the Digital Goods are available for viewing not only in English, but also in Russian, which contributes to their natural promotion by search engines.
Version
The author can create versions of the same Digital Goods. For example, a document in English and its version – a bilingual version with a translation into a foreign language.
Set
Digital Goods can consist of either a single file (power of attorney template) or several files (contract and its annexes). Several files included in a set can be sold as a single lot.
Connections
If multiple documents are used within a User’s potential project, the Author can establish connections between them, thereby offering the User additional documents that may be useful in User’s project.
For example, a letter of intent, lease agreement, premises transfer certificate, power of attorney to sign the lease agreement, consent of the landlord to have tenant’s legal address registered in his premises, etc. may be required within lease relations – all these documents can be linked together.
For ease of search, Digital Goods are categorized under one of the following types by which you can filter your search results.
Documents – holistic documents (overviews of legislation, contracts with annexes, powers of attorney, legal opinions and memoranda, answers to questions, step-by-step plans and instructions, corporate decisions, policies and guidelines, presentations, scientific articles, lectures, etc.).
Clauses – parts of documents (articles, clauses or sections of a contract, sections of due diligence reports, etc.)
Letters – business correspondence (templates of letters to counterparties, claims and demands, contract management, etc.)
Yes, the functionality of the Platform allows the Digital Goods to be placed in several categories at once, if the Digital Goods correspond to them. At the same time the Administrator may change the category of placement of a Digital Goods if it was placed by the Author in a category that does not correspond to its content.
If the Author has not found a suitable category in the catalogue, he or she can send a request to the Administrator with a proposal to create a new category to support@legalwording.ru
The Author must ensure that the Digital Goods he or she posts on the Platform do not violate applicable laws, in particular:
a)
do not contain information and data protected by the laws of the Russian Federation, including without limitation:
b)
do not contain data or information defaming honor, dignity and business reputation, insulting morality, promoting hatred (including hidden propaganda, approval and encouragement of violent actions) and/or discrimination and/or information discriminating against people on racial, ethnic, gender or social grounds, information in connection with inciting religious, racial, or interethnic discord, ethnic hatred or enmity, information on the basis of gender, orientation, or other individual characteristics, or information on the basis of ethnicity, race, nationality, religion, sex, or other individual characteristics;
c)
do not contain information or information capable of causing harm, containing threats, foul language, rude and offensive expressions and sentences contrary to generally recognized norms of morality, as well as information defaming the business reputation of Legal Wording, persons affiliated with Legal Wording, its employees and contractors;
d)
do not contain information indicating linkage to any specific project (prices, addresses, serial numbers or articles of objects, cadastral, inventory or technical numbers of real estate objects and other information individualizing specific things or specific persons);
e)
do not disclose confidential information and do not violate other rights of third parties or other rules of applicable laws;
f)
do not contain advertising, do not promote spam, mass mailing services and resources for earning money on the Internet (newsletters on company letterheads do not constitute advertising);
g)
are not copied from Internet sources, reference systems or legal information portals such as ConsultantPlus (КонсультантПлюс), Garant (Гарант), Systema Yurist (Система Юрист), Kodeks (Кодекс), Techexpert (Техэксперт) and other similar national or foreign systems and/or the Platform itself.

Before posting Digital Goods on the Platform, we recommend that you put them in an attractive marketable condition by available means.
For example, in MS Word, you can do the following:
a)
check spelling and punctuation;
b)
remove double spaces (Ctrl+H, replace two spaces with one);
c)
make automatic numbering of sections, articles and clauses;
d)
create automatic content in lengthy documents (if necessary);
e)
perform formatting, paying attention to font and font size, text alignment, indentation and line spacing.
Check the document to make sure it does not contain:
а)
personal data, trademarks, service marks;
b)
information on any individuals, legal entities, representative offices and branches;
c)
information indicating linkage to a specific project (prices, addresses, serial numbers or articles of goods, cadastral, inventory or technical numbers of real estate objects and other information individualizing specific things or specific persons);
d)
requisites.
Place a fill-in sign, such as [●], in place of the specified data.
Check that you correctly specify the author in the document properties.
When uploading a document to the Platform, make a description of your Digital Goods, write about its benefits and how it can be useful for the User.
Authors determine for themselves what their Digital Goods should be, but can use the following guidelines.
Newsletters
Authors can prepare an overview of current changes in legislation and make comments useful for Users. The use of infographics and diagrams will simplify the perception of complex legal information.
Reviews of legislative changes emphasize the expertise of the Author and promotes their personal or corporate brand.
Contracts
In this category Authors post contract templates and documents in connection with conclusion, execution or termination of contracts, including templates of letters and claims to counterparties. Digital Goods can be not only a contract template with or without annexes, but also a separate contract clause, a set of contract clauses or articles.
Corporate Documents
All the documents that can formalize the life cycle of a business, from its incorporation, operations and liquidation, are placed here.
Divisions and Departments
Materials related to business functions (divisions and departments) – templates of any documents, forms, presentations, policies, manuals.
Powers of Attorney
When drafting powers of attorney, consider, among other things, the official requirements of the person or body to whom the power of attorney will be presented.
Legal Issues
In this category Authors offer solutions to a variety of legal situations.
The solution to a legal question may take the form of: (i) an answer to the question; or (ii) a step-by-step instruction; or (iii) a structured legal opinion (e.g. the IRAC method – Issue, Rule, Analysis, Conclusion may be used in drawing legal opinions); or (iv) another form of presentation at the discretion of the Author.
Due Diligence
This category addresses issues that arise in the course of conducting Due Diligence on assets, identifying risks and how to mitigate or eliminate them. The presentation may be in the form of a response to a question or a draft of the relevant part of the Due Diligence Report or otherwise.
Dispute Resolution
All documents in connection with dispute resolution are placed in this category (state courts, commercial arbitration, trial courts and mediation).
Education and Science
In this category Authors may place electronic versions of books, scientific articles, trainings, lectures and other educational materials.
In accordance with the User Agreement, Users are licensed to use the Digital Goods under the following terms and conditions.
a)
Use
The Author authorizes the User to use the Digital Goods for personal use and other purposes as described below.
b)
Transfer to a Third Party
Author allows User to transfer the downloaded Digital Goods once to one third party ("Authorized Recipient") for personal use: (i) in a specific project of User's client in the course of his law practice; (ii) in User's educational project, subject to applicable citation rules; and (iii) in a specific project of User's employee or employer.
The scope of rights and obligations of the Authorized Recipient corresponds to the scope of rights and obligations of the User except for the right to transfer the Digital Goods to a third party.
c)
Printing and Copying
User is allowed to print and copy downloaded Digital Goods as needed for personal use.
d)
Processing
The User has the right to amend and change the Digital Goods uploaded by the Author to the Platform in editable format (Doc, Docx, Rtf, Xls, Xlsx, Txt, Ppt, Pptx).
The User may not process Digital Goods uploaded by the Author to the Platform in non-editable formats (Pdf, Jpeg, Png).
e)
Foreign Language Translation
The User has the right to translate the Digital Goods into a foreign language when using them for personal use.
f)
Commercial Use
The User may not sell the Digital Goods, use for advertising or marketing purposes or use in any other way in connection with commercial activities or profit-making excluding cases mentioned above.
