Video Production Contract — a 2026 Russian-law template for clients and contractors that are legal entities or individual entrepreneurs. The document follows Chapter 37 of the Russian Civil Code (works contract) and Article 1296 on assignment of exclusive rights to a work created on commission. The contract covers the full video production cycle: pre-production (concept, script, storyboard), production (shooting) and post-production (editing, color grading, sound, motion graphics), with delivery of the final master and source files.
The template addresses three pain points common to the industry. First, unlimited client revisions: the contract sets a cap on the number of revision rounds per stage, with extra revisions billed separately at an agreed hourly rate, and excludes subjective notes that do not reflect deviations from the brief. Second, intellectual property: the contract effects a full assignment of exclusive rights to the video and source materials under Articles 1234, 1285 and 1288 of the Russian Civil Code, valid worldwide for the entire term of protection, with no limits on use, accompanied by the contractor's warranties of clear title, releases from authors, performers, and models (Article 152.1 of the Civil Code) and personal data consents. Third, late delivery: in addition to per-stage late-payment liquidated damages, the client gains a one-off penalty for missed final delivery deadline plus a unilateral termination right.
Staged acceptance follows the principle of deemed acceptance: if the client does not deliver a reasoned objection within the agreed business-day window, the deliverable is treated as accepted. This protects contractors from drawn-out reviews. Pricing reflects the 22% VAT rate effective in Russia from 1 January 2026, with an alternative wording for contractors on the simplified tax regime or professional income tax (NPD) — "VAT not chargeable" with statutory basis. Confidentiality, force majeure, pre-litigation claims and dispute resolution clauses are drafted to a top-tier firm standard.
The set includes the main contract, Appendix 1 (Brief / Technical Task) with structured tables for formats, stages and payment schedule, and Appendix 2 (Acceptance Act form) with a dedicated section confirming the assignment of exclusive rights and delivery of source materials.
