The subject matter of the sale and purchase agreement is the sale of the building and land plot.
The payment is made in two installments through a notary's deposit and includes the purchase price of the hotel complex and the agency fee for the buyer's agent.
The condition for the Buyer to receive the first part of the purchase price is that the Buyer submits the following documents to the notary: a) original extracts from the Unified State Register of Real Estate, certifying the fact of registration of the Buyer's title to the real estate; and b) this Agreement with a mark of the state registrar on the registration of the transfer of ownership to the Buyer for each real estate object.
The second part of the purchase price shall be transferred to the buyer's agent accompanying the sale transaction on the basis of Article 430 of the Civil Code of the Russian Federation. Thus, the buyer's agent, not being a party to the sale and purchase agreement, receives money for his services not from the buyer but directly from the seller on behalf of the buyer arising from the sale and purchase agreement. This provision is aimed at protecting the agent's interests from unfair non-payment of agency fees by the buyer after a successful transaction.
The sale and purchase agreement is also accompanied by:
a) a form of notice from the buyer to the agent that his obligation to pay the agency fee on behalf of the buyer will be fulfilled by the seller.
b) an acceptance certificate.
